Ontario’s electricity sector is evolving rapidly, and effective governance has become a central focus for regulators and stakeholders including the Ontario Energy Board, IESO, and the Ministry of Energy. Today’s LDC Boards face increasing responsibility to ensure proper oversight, governance structures, and strategic leadership in a complex, regulated environment.

Delivered in partnership with The Directors College and McMaster University DeGroote School of Business, this program grants the university designation of Chartered Director (C.Dir.) and is customized to the unique requirements of the LDC sector. The program balances the technical and structural elements of governance with the cultural, behavioural, and principle-based aspects of effective directorship.

Successful completion of this industry-recognized, university-accredited program allows participants to use the C.Dir. designation.

Course Outline

The program consists of five modules, each delivered over 2.25 days. Modules begin Thursday afternoon and continue all day Friday and Saturday. Modules 1–4 may be taken in any order; however, all four must be completed prior to attending Module 5.

Below is a partial list of topics covered across the five modules:

Module 1 – Accountability and Change

  • Roles, responsibilities, legal and fiduciary duties, and Board accountabilities
  • The Board’s role in a regulated utility environment, including relationships with Municipal Shareholders, Affiliates, and HoldCo Boards
  • Board and Director independence and effective interaction

Module 2 – Leadership and Strategy

  • Establishing clear corporate strategies with management
  • Best practices for succession planning, HR and compensation committees, IT strategy, and management performance
  • Identifying and mitigating corporate risk in a regulated utility environment

Module 3 – Oversight and Finance

  • Assessing financial information using accounting principles and key indicators
  • Roles of the Board, Audit Committee, internal and external auditors
  • Governance expectations of regulators, Municipal Shareholders, and stakeholders

Module 4 – Effective Governance Under Complex Circumstances

  • Emotional intelligence and its impact on board behaviour and effectiveness
  • Governance links to sustainability, ethics, and social responsibility
  • Corporate reputation, risk, and crisis management

Module 5 – The Board Simulation

  • Participation in simulated Board and Committee meetings
  • Personal insight into board dynamics, behaviour, and productivity

All modules include facilitated group discussion. Upon completion of all five modules, participants must successfully write an exam to receive the C.Dir. designation.

To maintain the designation, 50 hours of Continued Professional Development (CPD) are required over a three-year period.

Who should attend?

This program is designed for individuals currently serving on boards, senior executives intending to serve on a board, and professionals who work closely with boards.

Applicants are assessed on a case-by-case basis to determine suitability for the Chartered Director (C.Dir.) designation.

This course module qualifies for 19.5 hours of CPD with HRPA upon successful completion.

Session Schedule:
Module sessions run over two and one-half days, beginning Thursday at 3:00 PM and concluding Saturday at 5:00 PM.

Program Dates: March 6, 2026 – April 4, 2026

Cancellations received in writing thirty-one (31) days prior to the course date will receive a full refund, less a 20% service fee (plus 13% HST). No refunds will be issued after this period.

Substitution of registrants from the same company may be made up to the course date.

The MEARIE Group reserves the right to postpone or cancel any program due to low enrollment. In such cases, participants will receive a full refund or may transfer their registration to a future session.

Who provides the courses?

Will I receive confirmation of my enrolment?

Are courses available online or in-person?

Courses may be offered online or in-person. Please consult the course's page and date to verify in which format it is being offered. Several of our more popular courses are offered in both formats throughout the year. Be sure to check out course options at www.MEARIE.ca/Training.

What technology do I require to take an online course?

Yes. We recommend using technology with both audio and video capability. We use ZOOM, so be sure it is installed on your computer. It is helpful if you use headphones to help hear one another clearly. As some sessions are interactive, we request the video function be turned on. While the session will work on a tablet, we recommend a desktop or laptop computer as the experience is more engaging and rewarding. A link to the session will be sent via email to you prior to the session. We encourage you to login a minimum of 5-minutes prior to the session start to ensure you successfully connect to the session. 

For online courses, can I use a tablet or phone?

We recommend using a computer for both audio and video capability. While the session will work on a tablet, using a computer provides a more interactive experience. We do not recommend using a phone.
