Chartered Directors (C.Dir. Certificate) Program Module 2 - Leadership and Strategy

This module explores the board’s role in shaping organizational purpose, setting strategic direction, and supporting effective leadership. Participants learn how directors contribute to strategic thinking while maintaining appropriate separation between governance and management.

Ontario’s electricity sector continues to evolve rapidly, placing increased emphasis on effective governance across the LDC landscape. Regulators and stakeholders—including the Ontario Energy Board, IESO, and the Ministry of Energy—have identified governance as a critical driver of organizational performance, efficiency, and accountability.

Delivered in partnership with The Directors College and McMaster University DeGroote School of Business, this program grants the university designation of Chartered Director (C.Dir.) and is tailored to the unique governance requirements of the LDC sector.

The program balances the technical and structural elements of governance with the cultural, behavioural, and principle-based dimensions of effective directorship. Successful completion enables participants to use the recognized C.Dir. designation.

Format: In-residence program (virtual options available upon request)
Includes: Facilitated group discussion and structured learning across five modules
This course module qualifies for 19.5 hours of CPD with HRPA upon successful completion.


Course Outline

The program consists of five modules, each delivered over 2.25 days. Modules begin Thursday afternoon and continue all day Friday and Saturday. Modules 1–4 may be taken in any order; however, all four must be completed prior to attending Module 5.

Below is a partial list of topics covered across the five modules:

Module 1 – Accountability and Change

  • Roles, responsibilities, legal and fiduciary duties, and Board accountabilities
  • The Board’s role in a regulated utility environment, including relationships with Municipal Shareholders, Affiliates, and HoldCo Boards
  • Board and Director independence and effective interaction

Module 2 – Leadership and Strategy

  • Establishing clear corporate strategies in partnership with management
  • Best practices for succession planning, HR and compensation committees, IT strategy, and management performance
  • Identifying and mitigating corporate risk in a regulated utility environment

Module 3 – Oversight and Finance

  • Accessing and assessing financial information using accounting principles and key indicators
  • Roles of the Board, Audit Committee, internal and external auditors
  • Governance expectations of regulators, Municipal Shareholders, and stakeholders

Module 4 – Effective Governance Under Complex Circumstances

  • Emotional intelligence and its impact on board behaviour and effectiveness
  • Links between governance, sustainability, ethics, and social responsibility
  • Corporate reputation, opportunity, risk, and crisis management

Module 5 – The Board Simulation

  • Participation in simulated Board and Committee meetings
  • Insight into board dynamics, behaviour, and decision-making

All sessions include facilitated group discussion. Participants must successfully complete an exam to receive the Chartered Director (C.Dir.) designation.

To maintain the designation, 50 hours of Continued Professional Development (CPD) are required over a three-year period.
